Terms & Conditions for Software Development Services


1. Introduction

These Terms & Conditions (“Agreement”) govern all software development services (“Services”) provided by the Developer (“we,” “us,” “our”) to the Client (“you,” “your”). By engaging our Services, you agree to the terms outlined below.


2. Scope of Work

All Services will be defined in a written Scope of Work (“SOW”), proposal, or project brief. The 

SOW will outline:


  • Project objectives
  • Deliverables
  • Technical requirements
  • Timelines and milestones
  • Pricing and payment structure


Any work requested outside the agreed SOW will be treated as additional work and may require a change order or separate agreement.


3. Client Responsibilities

To ensure timely delivery, the Client agrees to:

  • Provide accurate and complete requirements
  • Supply necessary content, credentials, and access
  • Respond to communication and approvals in a timely manner
  • Designate a primary point of contact


Delays in providing required information may extend project timelines.


4. Payment Terms

Unless otherwise stated in the SOW:

  • A deposit may be required before work begins
  • Invoices are due upon receipt
  • Late payments may delay delivery
  • Additional work or revisions outside the SOW will be billed separately


All fees are non‑refundable once work has begun.


5. Revisions & Change Requests

The SOW will specify the number of included revision cycles. Additional revisions or changes to approved work may incur additional fees.


A “change request” includes:

  • New features
  • Expanded functionality
  • Design changes after approval
  • Modifications to completed work


6. Intellectual Property

Unless otherwise agreed in writing:

  • The Client owns the final delivered software, code, and assets upon full payment
  • The Developer retains ownership of internal tools, libraries, frameworks, and reusable components
  • The Developer may showcase non‑confidential work in portfolios or case studies


Any third‑party licenses (e.g., APIs, fonts, plugins) remain subject to their respective terms.


7. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without written consent. This includes business data, credentials, proprietary code, and project details.


8. Warranties & Support

We warrant that the delivered software will function according to the agreed specifications at the time of delivery.


Unless otherwise stated:

  • Bug fixes are covered for a limited warranty period
  • Ongoing maintenance, updates, or feature enhancements require a separate support agreement


We do not guarantee compatibility with unsupported browsers, outdated devices, or third‑party changes outside our control.


9. Limitations of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid for the Services
  • We are not responsible for losses caused by third‑party services, hosting providers, or client misuse


10. Termination

Either party may terminate the Agreement with written notice if the other party materially breaches the terms.


Upon termination:

  • The Client must pay for all completed work and in‑progress work
  • The Developer will deliver all paid‑for assets
  • Deposits are non‑refundable


11. Acceptance of Work

Work is considered accepted when:

  • The Client provides written approval
  • The Client deploys or uses the software in production
  • The warranty period expires without reported issues

12. Governing Law

This Agreement is governed by the laws of the state or jurisdiction in which the Developer operates, unless otherwise specified.


13. Entire Agreement

This Agreement, together with the SOW, constitutes the entire understanding between the parties and supersedes all prior discussions or agreements.


Return and Refund Policy

  

Return & Refund Policy for Software Development Services


1. Overview

This Return & Refund Policy (“Policy”) applies to all software development services (“Services”) provided by the Developer (“we,” “us,” “our”) to the Client (“you,” “your”). Because software development is a customized, labor‑based service, refunds are limited and subject to the terms below.


2. No Returns on Delivered Digital Products

Software, source code, digital assets, and technical deliverables cannot be “returned” once delivered.
All work performed is considered non‑returnable due to its digital and custom nature.


3. Refund Eligibility

Refunds may be considered only under the following conditions:


3.1 Work Has Not Yet Begun

If you cancel before any development work has started, you may receive a refund of your deposit, minus any applicable administrative or onboarding costs.


3.2 Developer Is Unable to Complete the Project

If we are unable to complete the project for reasons within our control, you will receive a partial refund based on:


  • Work completed
  • Hours invested
  • Deliverables already provided


You will receive all paid‑for work up to the cancellation date.


4. Non‑Refundable Items

The following items are non‑refundable:

  • Deposits after work has begun
  • Completed milestones
  • Approved  deliverables
  • Custom code, designs, or integrations already produced
  • Third‑party software, licenses, or subscriptions purchased on your behalf
  • Delays caused by missing client information, approvals, or access


Once a milestone or deliverable is approved, it is considered accepted and non‑refundable.


5. Quality Assurance & Bug Fixes

We provide a warranty period (defined in the Scope of Work) during which we will fix bugs or defects that:

  • Are directly related to our code
  • Do not involve new features or changes in scope
  • Are reproducible and documented


Bug fixes do not qualify for refunds.


6. Change Requests & Scope Adjustments

Requests for new features, design changes, or expanded functionality are treated as new work and are not eligible for refunds.


Any additional work will require:

  • A revised estimate
  • A change order
  • Approval before development begins


7. Project Cancellation by the Client

If you choose to cancel the project after work has begun:

  • You will be billed for all completed work up to the cancellation date
  • Any unpaid invoices must be settled before deliverables are released
  • No refunds will be issued for completed or in‑progress work


8. Project Cancellation by the Developer

If we must cancel the project due to unforeseen circumstances:

  • You will receive all completed work
  • A partial refund may be issued based on unearned fees
  • Third‑party costs remain non‑refundable


9. Dispute Resolution

If a disagreement arises regarding deliverables, quality, or scope:

  • Both parties agree to attempt resolution through good‑faith communication
  • If unresolved, mediation or arbitration may be used before legal action


This helps avoid unnecessary conflict and keeps the project moving forward.


10. Acceptance of This Policy

By engaging our Services, you acknowledge and agree to this Return & Refund Policy.
This Policy should be read together with the Terms & Conditions and the Scope of Work.
